We reserve the right to modify these Terms of Use at any time. If we make any changes, we will update the latest version of these Terms of Use on this page, which you can review at any time by reloading this page. Continued use of MarketAlpha following the posting of changes indicates your acceptance of those changes.
For any significant updates that materially affect your rights and obligations, we will notify active subscribers via email at least 30 days before the changes take effect. The email will have a clear subject line, 'Important Update to MarketAlpha Terms of Use,' and will include a summary of the changes. Continued use of MarketAlpha after the changes take effect will constitute your acceptance of the new Terms of Use.
If you do not agree to the changes, you have the right to discontinue your use of MarketAlpha without any penalty within this 30-day period. For significant updates, we may require you to acknowledge the changes explicitly (e.g., an “I Agree” prompt) before continuing to use the service. Where such a prompt is used, certain features may be temporarily restricted until you accept the updated Terms.
We may discontinue or alter any service or feature on MarketAlpha at any time without prior notice. While we are not required to notify you of minor changes, we will strive to inform you in advance of any discontinuance or significant alterations that could materially impact your use of MarketAlpha, where feasible.
Please be aware that we do not guarantee backward compatibility of our services and Application Programming Interface (API). We encourage you to regularly review our services and features to stay informed of any updates. MarketAlpha is not liable for any potential loss or disruption resulting from such changes, including but not limited to discontinued services or altered features.
From time to time, we may perform scheduled or emergency maintenance, implement updates, or suspend parts of the Services to address security or technical issues. We will use commercially reasonable efforts to minimize disruption and, where feasible, give notice in advance. Temporary unavailability during maintenance or while resolving operational incidents does not constitute a breach of these Terms.
We may change data providers or modify, suspend, or remove features that rely on third-party services (for example, if a provider ceases supplying a dataset or changes licensing). Where a material feature is withdrawn for more than 30 consecutive days for reasons within our control, you may cancel the affected subscription and, notwithstanding Clause 17(6), receive a pro-rata refund of prepaid fees for the unused portion of the current term for the affected Services.

In the event of a Sunset during a prepaid term, and notwithstanding Clause 17(6), we will issue a pro-rata refund of prepaid subscription fees for the unused remainder of that term. Refunds will be made to the original payment method where practicable; if that is not feasible, we may reasonably request alternative details to complete the refund. Account-balance referral credits (Clause 23) have no cash value and do not convert to a payout.
All rights, titles, and interests in MarketAlpha, including all information made available through MarketAlpha or our services, such as copyrights, trademarks, and other intellectual property, are the exclusive property of MarketAlpha, our affiliates, or our Data Providers, unless otherwise noted. Data provided by Massive.com, Inc. (“Massive”, formerly “Polygon.io”) and Financial Modeling Prep (“FMP”), including all copyrights and trademarks therein, remain the property of the respective provider. We may also use additional or replacement data providers from time to time.
Unauthorized use of MarketAlpha content is strictly prohibited and may result in legal action, including but not limited to claims for damages, injunctions, and other legal remedies. Unauthorized use includes, but is not limited to:
The content and market data provided by Squadron Technologies Ltd (including data sourced from providers such as Massive and FMP) is licensed for display within the Services and for limited internal analytical processing (e.g., calculations, creation of derived metrics, data analysis). It may not be used for non-display decisioning such as order generation, smart order routing, price or trade verification, best-execution determinations, or any automated trading workflows.
Subject to provider rules, MarketAlpha may enable you to export the results of screeners, tables, and derived metrics (e.g., CSV/Excel of scan results or computed columns) for your internal use. Per our agreements with Massive and other providers, raw market data (e.g., tick/quote feeds, bulk OHLCV time series, or unmodified provider datasets) may not be redistributed or resold. Exports must not be used to operate a data-vending service, public API, benchmark service, or any product that redistributes raw provider data.
However, the following activities are prohibited unless explicitly allowed by the relevant third-party provider (e.g., Financial Modeling Prep (FMP)):
Permission to engage in such activities must be confirmed in writing from Squadron Technologies Ltd and the relevant third-party providers. If Squadron Technologies Ltd's agreements with providers permit these activities, the following terms will apply:
For clarity, internal business analysis by a company’s Authorized Users is permitted; external commercial reuse or redistribution remains prohibited unless we agree in writing and all third-party licenses are in place.
Third parties are forbidden from:
1. Utilizing MarketAlpha's market data for non-display purposes, including automated trading or algorithmic decision-making.
2. Facilitating or encouraging activities that breach this policy, such as automated order generation or smart order routing.
3. Claiming compatibility with or advertising MarketAlpha's features for any prohibited purposes.
Our agreements with Data Providers prohibit sublicensing, assigning, transferring, selling, loaning, or distributing MarketAlpha content, including market data, without express written consent from Squadron Technologies Ltd and the relevant Data Providers.
Commercial re-use of our APIs or data outside the MarketAlpha platform (e.g., to power your own product, API, or data-vending service) requires a separate written agreement and all applicable third-party licenses. We assume no liability for third-party services or software, and any use of our APIs must comply with these Terms of Use. Any API-based access, systematic extraction, or bulk export outside normal interactive use requires our written consent and the applicable third-party licenses.
Squadron Technologies Ltd reserves the right to take any necessary actions, including but not limited to audits, investigations, and legal proceedings, to enforce these terms and protect its intellectual property. Immediate actions, such as account termination, service access termination, injunctive relief, and claims for damages, may be taken without prior notice in response to any violations.
These actions reflect Squadron Technologies Ltd's commitment to enforcing its policies and maintaining the integrity and trustworthiness of its platform.
By accessing and using MarketAlpha and its associated services, you ("End User") are granted a limited, non-exclusive, non-transferable, revocable license to use the data, content, and services provided through MarketAlpha, including but not limited to data from third-party providers like Financial Modeling Prep (FMP), for your personal or internal business purposes only. For retail clients, this license is limited to personal, non-commercial use within the platform, without access to raw data in downloadable formats unless explicitly permitted by MarketAlpha.
Business customers may purchase subscriptions and permit Authorized Users to access and use the Services solely for the customer’s internal business purposes; one person per seat, no credential sharing, and no external redistribution or service provision to third parties.
The End User agrees that they will not:
As authorized by third-party agreements, the following activities are allowed under MarketAlpha's Terms of Use:
All data, content, and services provided by MarketAlpha, including third-party data, are protected by copyright, trademark, and other intellectual property laws. The End User acknowledges that all intellectual property rights remain with MarketAlpha, its affiliates, or the relevant data providers, including Massive (formerly Polygon.io) and Financial Modeling Prep (FMP). No ownership rights are transferred to the End User under this EULA or under these Terms of Use.
This EULA is effective until terminated. MarketAlpha reserves the right to revoke the End User's license at any time for violations of this EULA, the general Terms of Use, or any applicable third-party agreements. Upon termination, the End User must cease all use of the data and services and delete or destroy any copies of the data in their possession.
MarketAlpha and its data providers, including but not limited to Massive and FMP, shall not be liable for any indirect, incidental, special, or consequential damages arising from the End User's use of the data or services, including but not limited to loss of profits or business interruption, even if advised of the possibility of such damages.
The End User agrees to indemnify and hold harmless Squadron Technologies Ltd, its affiliates, and data providers from any claims, liabilities, damages, or expenses (including legal fees) arising out of or related to the End User's violation of this EULA, misuse of the data or services, or breach of any third-party rights.
This EULA shall be governed as per the jurisdiction and governing laws stated below in Clause 29.

Users must comply with the terms and conditions imposed by these third-party providers when accessing, modifying, or sharing their data. The following activities are permitted only if explicitly allowed by the relevant third-party agreement:

Investment decisions involve risk and are best made with the guidance of a qualified financial professional. Trading securities, commodities, and other investments carries substantial risk of loss. These statements are based on assumptions and estimates and are subject to significant uncertainties. We are under no obligation to update or revise any such information presented on MarketAlpha.
MarketAlpha may present hypothetical performance outcomes, which come with inherent limitations. These limitations often include being designed with the benefit of hindsight and not accounting for financial risks in real-time trading. It is crucial to recognize the potential difference between hypothetical and real-time results. Users should be aware of these limitations, exercise caution and critically assess the relevance and reliability of these hypothetical results when making investment decisions. Squadron Technologies Ltd is not liable for any loss or damage resulting from trading or investment activities based on information received through MarketAlpha or our services.
MarketAlpha may present long and short trade strategies, including associated risk-reward assessments, generated by its proprietary algorithmic analysis engine. These outputs are based on data-driven models that process technical and fundamental inputs to determine the most statistically probable market outcomes. MarketAlpha sources market data from Massive.com, Inc. (“Massive”, formerly “Polygon.io”) and Financial Modeling Prep (“FMP”), and may use additional or replacement providers over time.
Real-time data and volume: All real-time ticker pricing displayed in MarketAlpha reflects Massive’s proprietary Fair Market Value (“FMV”), an algorithmically derived estimate of a security’s fair market price. All real-time volume shown is consolidated volume as provided by Massive. FMV is provided for informational purposes only; it is not an official exchange quote or trade price and must not be used for order verification, best-execution determinations, or regulatory reporting.
End-of-day and other data: End-of-day and historical OHLCV may be sourced from FMP. Fundamentals may be sourced from FMP and/or Massive.
Exports and public sharing: Where enabled, you may export results of extracts and derived metrics for personal or internal business use. Redistribution of raw provider data (e.g., real-time quotes, consolidated real-time volume, bulk OHLCV, or similar raw fields) or bulk datasets is not permitted. To uphold provider terms, we may impose row/field limits, rate limits, time-granularity limits, sampling, rounding, or other safeguards.
End Users may derive their own metrics or insights from data displayed in the Services for personal or internal business use. Any exports, derivatives, or public sharing (including screenshots) must comply with the applicable third-party data-provider agreements.
MarketAlpha respects the integrity of its providers’ data. Using raw price, volume, and fundamentals supplied by those providers, MarketAlpha computes proprietary metrics and analytics (including projections). All outputs are generated by MarketAlpha’s proprietary algorithmic engines and the Services are designed to resist reverse-engineering of raw provider feeds. You must not attempt to reverse engineer, decompile, or reconstruct provider datasets from any output.
Subject to applicable third-party data licenses, MarketAlpha owns its software, models, methodologies, and the analytics and derived metrics they generate (collectively, “Derived Outputs”), excluding any third-party data embedded therein. Nothing in these Terms grants any right to redistribute Massive, FMP, or any other provider’s data.
MarketAlpha retains exclusive proprietary rights over its content, services, and any associated information. You acknowledge and agree that MarketAlpha's services and any necessary software used in connection with those services ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on MarketAlpha's services or the Software, in whole or in part.
To the fullest extent permitted by the applicable law, Squadron Technologies Ltd, its affiliates, and their respective officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or relating to the use of or inability to use MarketAlpha's services, including, without limitation, damages for loss of profits, data, use, goodwill, or other intangible losses. This limitation of liability applies to both direct and indirect actions or omissions resulting from the use of MarketAlpha.
In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, the liability of Squadron Technologies Ltd shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Squadron Technologies Ltd, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising from or relating to your use of MarketAlpha services, violation of these Terms of Use, or infringement of any intellectual property or other rights of any person or entity.
(1) By ordering a subscription on MarketAlpha.ai, you confirm your acceptance of these Terms of Use and authorize Squadron Technologies Ltd (or its authorized payment processors) to automatically charge your bank card, PayPal account, or other supported payment method based on the selected billing period (monthly or annual).
At checkout, you must tick a box confirming: "I agree to MarketAlpha’s Terms of Use, EULA, and Disclaimers and acknowledge the Privacy Policy. No Investment Advice: I understand that MarketAlpha is for educational and informational purposes only and does not constitute investment advice. I accept that subscription payments are non-refundable. If I am in the EU/UK, I request immediate access to the digital service and waive my 14-day withdrawal right." If acceptance is not captured at checkout, you may be asked to accept at sign up.
Plan names: the monthly plan is "Monthly Core"; the annual plan is "Annual Plus." If you choose Monthly Core and, during checkout, switch to annual billing, you will become an Annual Plus subscriber.
We will email you an order confirmation on a durable medium that includes your plan, price, renewal period, cancellation method, and—if you requested immediate access in the EU/UK—your acknowledgement that the 14-day withdrawal right is lost for that term.
(2) The service is billed in advance and renews automatically at the end of each billing cycle unless canceled. All billing is recurring unless and until you cancel your subscription through the “Manage Subscription” section in your Account Settings. Cancellation requests made via email, support chat, or any other informal method are not considered valid. Unused referral credits are forfeited upon cancellation.
(3) To use MarketAlpha services, you must provide accurate, current, and complete billing information, including your full name, email address, payment details, and card expiration date. By subscribing, you authorize Squadron Technologies Ltd or its designated payment processors to charge your selected payment method for all applicable fees.
(4) All prices are shown in U.S. dollars and, unless expressly stated as “incl. VAT/GST,” are exclusive of taxes. Any applicable VAT, GST, sales/use or similar transaction taxes will be calculated at checkout based on your billing address and tax status and shown before you pay. Invoices/receipts will itemize any tax charged.
EU/UK and B2B tax IDs: If you provide a valid VAT/GST registration number and the reverse-charge or zero-rating rules apply, we will not charge tax and you remain responsible for self-assessment where required. If a valid number is not supplied at the time of purchase, we may charge tax and do not issue retroactive VAT/GST refunds.
Currency and bank fees: Your card issuer may apply currency conversion or foreign-transaction fees; these are your responsibility.
(5) If you cancel before the end of your current billing cycle, your subscription will remain active until the next due date. No refunds will be issued for unused time. If no payment is received after the due date, your subscription will be terminated automatically. If payment fails on renewal, we will pause access and ask you to update your payment method. We will not switch you to a different plan or billing interval unless you choose it in your account.
(6) Refunds and Cancellations (subject to Clause 17(7) and applicable law)
(7) EU/UK consumers: You may have a 14-day right to withdraw from a subscription. We make paid features available immediately on request. If you choose to begin using any paid feature during this 14-day period (for example, by selecting “I Agree and Continue” or otherwise requesting immediate access), you request immediate performance and waive the 14-day withdrawal right for that term. If you wish to keep that right, do not start paid features; contact support@marketalpha.ai within 14 days for assistance. If you have not begun any paid features and withdraw within 14 days, we will provide a refund as required by law.
(8) If you open a payment dispute/chargeback, we may temporarily suspend access while the dispute is reviewed. Once resolved, any refund or credit will be handled in line with this Clause 17 and applicable law. Repeated or abusive disputes may lead to account termination.
(9) MarketAlpha moderators may warn, suspend, or restrict accounts (including paid subscribers) for violations of our House Rules or Terms. No refunds will be granted for moderation actions, and access to paid features may still remain available during restrictions.
(10) Squadron Technologies Ltd may use authorized third-party processors or local subsidiaries to manage billing transactions in your region.
(11) For active subscriptions, we will give at least 30 days notice of any increase to recurring fees.
(12) Promotional extra days (first-term extensions): From time to time, we may add extra free days to your first subscription term. This is available only for new first-time customers and is applied via subscription schedules. In your account, you may see messaging such as: "Your service will be updated on [extended date]."
If you change your subscription interval (Monthly Core ↔ Annual Plus) during the extra-days period, the updated subscription will begin from the normal end date (not the extended date) and the extra free days will be lost. You may see messaging such as: "Your subscription is scheduled to change at the end of your current billing period on [extended date]. You may cancel this change and either stay on your current subscription or make a different change."
(13) Plan changes and downgrades: When switching to a cheaper plan or to a shorter billing interval, updates take effect at the end of the current billing period. For plan or quantity changes, new pricing applies at the next billing cycle (no mid-cycle charges or credits). Where prorations apply under our billing settings (as disclosed at the time of change), they are invoiced at the end of the current billing period.
(14) Free trials and trials with introductory discounts
From time to time, we may offer free trial days for new first-time customers. By starting a trial you authorize us (via our payment processor) to charge the Total after trial amount to your saved payment method when the trial ends or when the promotional billing period begins as shown at checkout. When a coupon is applied, Stripe may not show a specific trial end date and may instead display messaging such as “7 days free. Then US$[discounted amount] per [interval] until coupon expires.” In all cases, the first paid invoice after the trial will reflect any eligible introductory discount and any applicable taxes.
(15) Where required or as a matter of good practice, we may send a reminder before a free trial or introductory period ends or before an annual renewal, and you can cancel at any time before the charge.
(16) Unplanned outages happen. If the Services are continuously unavailable for more than 48 hours for reasons within our reasonable control (and not due to a Force Majeure Event under Clause 26 or your breach), we will extend your current term by one (1) day for each full 24-hour period of such continuous unavailability (a “Service Credit”). Service Credits are the sole remedy for service unavailability short of a Sunset under Clause 3 and do not have cash value, are non-transferable, and apply automatically by extending your renewal date.
(17) Notwithstanding Clause 17(6) (non-refunds), if we implement a Sunset under Clause 3 during your prepaid term, you are entitled to a pro-rata refund of prepaid fees for the unused remainder of that term for the discontinued Services. Where part of your fees were offset by referral credits, the refund is calculated on the cash amount actually paid. Referral credits do not convert to cash and expire on Sunset.
(18) If we withdraw the Services from your country or region for legal, regulatory, or commercial reasons not attributable to you and the Services become unavailable to you for the rest of your current prepaid term, you may cancel and receive a pro-rata refund for the unused portion of that term. This does not apply to temporary suspensions or partial feature limitations.
Users subscribed to the Annual Plus plan are entitled to enhanced support benefits, which include access to MarketAlpha's custom metric and profile request service. Each subscription year (or each active annual billing cycle) includes one (1) custom metric and one (1) custom screener profile, free of charge. These entitlements do not roll over or accumulate if unused. Annual Plus perks become available only after any free trial ends and the first paid Annual Plus term begins; perks are not provided during a free trial.
A custom metric refers to a user-defined calculation or indicator similar in format and function to those found in the columns and filters of the Ticker Screener or Group Screener (e.g., technical signals, derived ratios, composite metrics). A custom profile refers to a screener configuration or layout designed in collaboration with the MarketAlpha team to address a user's unique strategy, workflow, or analytical needs.
Custom metrics developed under this program may be made accessible to all users of the platform at the discretion of MarketAlpha. Custom profiles will be delivered as private, shareable links, accessible only to the requesting user and any parties they choose to share them with. These profiles will not appear in the public library unless the user consents.
Users may request additional custom metrics or profiles beyond the included ones; however, such requests are subject to approval by the MarketAlpha team and may incur additional charges, or be offered free of charge, entirely at our discretion. MarketAlpha reserves the right to reject, defer, or restructure any request deemed too complex, outside platform scope, or impractical due to time or resource constraints.
Our team will work closely with users to clarify goals and suggest feasible solutions. However, no guaranteed delivery timeline or Service Level Agreement (SLA) is provided for custom work. All custom outputs are created on a best-effort basis, subject to internal capacity and prioritization.
All custom metrics and profiles created under this service remain the intellectual property of Squadron Technologies Ltd. MarketAlpha may reuse, improve, or incorporate them into the broader platform without restriction. Users are prohibited from reselling, sublicensing, or distributing custom deliverables without prior written approval.
By submitting ideas, content, suggestions, documents, and/or proposals ("Contributions") to MarketAlpha, you acknowledge and agree that:
(a) Your Contributions do not contain confidential or proprietary information.
(b) MarketAlpha is not under any obligation, express or implied, to maintain confidentiality regarding the Contributions.
(c) MarketAlpha may use or disclose Contributions for any purpose, in any way, worldwide. Any exceptions to this policy or if you retain any rights to your feedback, they will be clearly outlined in a separate agreement.
(d) MarketAlpha may have similar Contributions already under consideration or in development.
(e) Your Contributions automatically become the property of MarketAlpha, without any obligation to you.
(f) You are not entitled, under any circumstances, to any compensation or reimbursement from MarketAlpha.
Shared content, such as screener profiles and data filters, may remain accessible to other users even if the original contributor deletes their account or associated data, unless explicitly removed by MarketAlpha. By sharing such content, the user agrees to its continued accessibility for other users.
We take the security of your personal data seriously and implement reasonable measures to protect it from unauthorized access, breaches, and other security threats. We employ encryption, secure servers, and other safeguards to ensure the confidentiality and integrity of your personal data. However, despite these measures, no method of transmission over the internet or method of electronic storage is completely secure. Therefore, we cannot guarantee absolute security and disclaim any liability for breaches or losses resulting from unauthorized access to your personal data.
You may delete your MarketAlpha account at any time through your Profile Settings page. Upon request for account deletion, MarketAlpha will delete your personal data associated with your account, retaining only the data necessary for system integrity and legitimate business purposes, such as auditing and security. Published Contributions remain on the site at MarketAlpha's discretion to maintain communal trading knowledge.
We reserve the right to terminate, limit access to, or suspend your account without prior notice for reasons including but not limited to:
(a) Breaches or violations of the Terms of Use or other agreements.
(b) Requests by law enforcement or government agencies.
(c) Discontinuance or material modification of MarketAlpha services.
(d) Unexpected technical or security issues.
(e) Extended periods of inactivity.
(f) Engagement in fraudulent or illegal activities.
All terminations, limitations of access, and suspensions are at Squadron Technologies Ltd's sole discretion, and Squadron Technologies Ltd is not liable for any termination of your account or access to services.
Upon deletion of a user's account, personal data and contributions will be deleted at the user's request. However, any shared content (e.g., screener profiles, applied filters, stock tickers) that has been shared with other users may remain accessible to those users, even after the original user's account has been deleted, unless explicitly removed by Squadron Technologies Ltd. Additional retention periods (e.g., security/audit logs or terms acceptance records) are applied as described in our Privacy Policy.
If we terminate your subscription for our convenience (i.e., not due to your breach or a Force Majeure Event) during a prepaid term, you will receive a pro-rata refund of prepaid fees for the unused remainder of that term. If we terminate for your breach, no refund is due.
If you explicitly consent to receive marketing communications when creating a MarketAlpha account, subscribing through the checkout process, participating in our referral program, or signing up for the newsletter on our website, you agree to receive service updates, special offers, and other promotional messages via email. Marketing subscriptions use a double opt-in process managed by our email service (e.g., Mailchimp). You may unsubscribe at any time by clicking the "unsubscribe" link included in our emails. Unsubscribing from marketing does not affect necessary transactional or service emails (e.g., verification, password reset, billing receipts, security notices).
MarketAlpha may offer a referral program that allows users to earn rewards by inviting others to subscribe to the platform.
(1) Eligibility: Only users with an active, paid subscription are eligible to receive referral credits (the “Referrer”). A credit is granted when a referred friend (the “Friend”) completes their first successful paid subscription invoice after any free trial or promotional zero-charge period (see 17(14)). $0.00 trial invoices, pre-authorizations, and pending/uncaptured charges do not qualify. The Referrer must be active and paid at the time that first paid invoice is successfully captured.
(2) Rewards and Discounts: For each Friend who subscribes through your invite link, you receive a US$10 account-balance credit applied toward a future invoice, and the Friend receives 10% off their first paid subscription invoice (first month or first year, depending on plan). If a free trial is present, the discount applies to the first invoice after the trial. The Referrer credit is issued only when that qualifying invoice settles successfully. The Friend discount applies to the first invoice only and cannot be combined with other promotions unless explicitly stated. Per-Friend limit: one credit per new customer (first paid invoice only).
(3) Caps: Referral credits are capped at twenty (20) awards per rolling 365-day period. After the cap is reached, additional Friends may still redeem the 10% discount, but no further Referrer credits will be granted during that period.
(4) Application: Credits are created and become usable only after the qualifying Friend invoice has settled successfully and will apply automatically to the next eligible invoice. They may appear as “Applied account balance −US$10.00” on your billing statement. If multiple credits are available, they apply in the order granted, up to the invoice amount; any unused balance continues to subsequent invoices until exhausted.
(5) Reversals: Credits may be reversed if the Friend’s initial paid invoice is refunded, voided, charged back, or otherwise reversed; if the qualifying payment fails or is declined after capture; or if fraud/abuse is detected.
(6) Forfeiture: Unused referral credits are forfeited upon cancellation. If you reactivate auto-renew before your current paid term expires, forfeited credits are reinstated and will be applied to your next invoice. Once your subscription lapses at term end, forfeited credits cannot be reinstated. Credits have no cash value, are not e-money, and cannot be withdrawn or exchanged. If the Services are discontinued under Clause 3, unused referral credits expire and do not convert to cash. Any pro-rata refunds under Clause 17(17) are calculated on cash actually paid, net of credits previously applied.
(7) Abuse and limitations: Self-referrals, duplicate/fraudulent accounts, or attempts to game the program (including using the same identity, device, or payment method) are prohibited and may result in disqualification and/or account action.
(8) Changes: We may modify, suspend, or terminate the referral program at any time. Participation constitutes acceptance of these terms and any future updates.
(9) Taxes: You are responsible for any taxes that may apply to referral rewards in your jurisdiction.
For any questions about the referral program, contact us at support@marketalpha.ai.

MarketAlpha and its authors are not liable for any losses incurred based on any perceived recommendations, forecasts, or information presented. These publications should not be interpreted as guarantees or promises of profit or limited losses.
Neither party will be liable for any delay or failure to perform its obligations (other than payment obligations already due) caused by events beyond its reasonable control, including without limitation acts of God, natural disasters, fire, flood, epidemics or pandemics, war, terrorism, civil unrest, labor disputes, embargoes or sanctions, acts or orders of government or regulators, changes in law or exchange/provider rules, widespread internet or telecommunications failures, power outages, denial-of-service or other malicious attacks, cloud/hosting outages, or third-party market-data provider outages or changes (each, a “Force Majeure Event”).
The affected party will promptly notify the other party and use commercially reasonable efforts to mitigate the effects and resume performance. Performance timelines will be extended for the duration of the Force Majeure Event.
If a Force Majeure Event continues for more than 30 days, either party may terminate the affected Services on written notice. For pre-paid plans, we may issue a pro-rata credit for the unused portion of the current term to be applied against future fees; where a Force Majeure Event results in a Sunset under Clause 3, Clause 17(17) applies.
You represent you are not located in, organized in, or a resident of any jurisdiction subject to comprehensive sanctions, and you are not listed on any UK, EU, or U.S. restricted-party list. You will not use the Services in violation of applicable sanctions or export-control laws.
These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. MarketAlpha is operated by Squadron Technologies Ltd, a company incorporated in the United Kingdom. You agree to submit to the exclusive jurisdiction of the courts located in England and Wales for the resolution of any disputes arising out of or relating to these Terms of Use or your use of MarketAlpha.
In the event of a dispute, the parties will first attempt in good faith to resolve any dispute through non-binding mediation in England and Wales. If the dispute is not resolved within 30 days after the mediator is appointed, either party may commence proceedings in the courts of England and Wales. All mediation and court proceedings will be conducted in English. Nothing in this Section prevents either party from seeking urgent injunctive or equitable relief (including to protect intellectual property, confidential information, or prevent unauthorized access) in a court of competent jurisdiction.
Entire Agreement: These Terms (together with the Privacy Policy and Cookie Policy, which form part of these Terms) constitute the entire agreement between you and Squadron Technologies Ltd regarding the Services and supersede all prior or contemporaneous agreements on the same subject.
Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms (in whole or part) to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Severability: If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
No Waiver: A failure or delay by either party to enforce any provision of these Terms is not a waiver of that provision or any other provision. Any waiver must be in writing and signed by the waiving party.
Force Majeure: See Clause 26 (Force majeure) for events beyond a party’s reasonable control that excuse performance.
Survival: The following provisions survive termination or expiration of the Services or these Terms: Clauses 1, 4–17, 18–19, 21, 24–26, 28–30, and any provisions that by their nature should survive (including accrued payment obligations, intellectual-property terms, disclaimers, limitations of liability, indemnities, and dispute-resolution terms).
Headings and Interpretation: Headings are for convenience only and do not affect interpretation. “Including” means “including without limitation.” References to the “Terms” include the Policies that form part of the Terms.
